Terms of Service
These terms apply when you use the Whipstitch portal at app.whipstitchlocal.com, install Catalog Sync by Whipstitch on a Shopify store, or buy services from Whipstitch Local ("we", "us"). By using them you agree to these terms. If you sign a separate written agreement with us, that agreement governs where it differs from these terms.
1. What we provide
Whipstitch Local's software keeps a boutique's Shopify catalog in step with the designer lines it carries: styles, sizes, colors, prices and availability, updated as designers send new information. Catalog Sync is the Shopify app that connects your store to that service. Storefront setup and maintenance may be provided under a separate agreement.
2. Your store stays yours
- You own your Shopify store, your domain, your customers and your sales. You are the merchant of record.
- We act on your store only through the permissions you approve when you install Catalog Sync, and any staff access you choose to give us.
- Changes you make to your own store, such as your retail price within a designer's rules, which styles you carry, hidden colors or edited descriptions, are not overwritten by a sync.
- You can uninstall Catalog Sync at any time from your Shopify admin.
3. Designers and their rules
Your right to sell a designer's products comes from your own relationship with that designer, not from us. We apply the rules designers give us, such as minimum advertised prices and which retailers may carry a line, and we may decline to publish or update a product when doing so would break one of them. We tell you when that happens and why.
4. How accurate the catalog is
Catalog data comes from designers' own files, so the catalog is only as accurate as the information designers provide to us. We ask each designer to send updates daily. Each time we receive an update and it passes our checks, our system updates your store, usually within minutes. We check every file and hold the last good information when a file is missing or malformed, rather than marking products sold out. We cannot guarantee that a designer's information is correct, complete or on time, and availability can change after we last received it. Where we show an expected arrival date, it is the designer's estimate.
5. Fees
- Catalog Sync's monthly fee is billed one of two ways: by Shopify on your Shopify bill, at the price shown when you approve the charge, or by us through Stripe if your store connects through its own app. Your agreement says which.
- Fees for data aggregation and organization, setup and any separately agreed storefront work are set out in your order or agreement with us and are billed by us directly.
- Fees do not include your Shopify subscription or any other apps you install, which you pay to their providers.
6. Your responsibilities
- Keep your sign-in details private and tell us promptly about any unauthorized access.
- Only connect stores you are authorized to manage.
- Do not use the service to break the law, to infringe anyone's rights, or to probe, overload or interfere with our systems.
7. Content and data
You keep ownership of your store's content and data. You give us permission to use it only to provide the service. Product text and images supplied by designers remain theirs and are used under their terms. Our software, the portal and our catalog data are ours. How we handle personal information is described in our Privacy Policy.
8. When the service ends
If you stop the service or uninstall Catalog Sync, we stop updating your store. Products already in your store stay there and remain yours, but they will no longer receive new styles, price changes or availability updates from us. Nothing in these terms affects your direct right to keep selling a designer's products under your own arrangement with that designer.
9. Availability and changes to the service
We work to keep the service running and to fix problems quickly, but we do not promise it will be uninterrupted or error-free. We may improve or change features over time, and we will give reasonable notice before removing anything you rely on.
10. Disclaimers
Except as stated in these terms or a written agreement with us, the service is provided "as is", without warranties of any kind, to the fullest extent the law allows.
11. Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental or consequential losses, including lost profits or sales, and our total liability for any claim relating to the service is limited to the fees you paid us in the three months before the claim arose.
12. Changes to these terms
We may update these terms. We will change the date above and give account holders notice of material changes before they take effect. Continuing to use the service after that means you accept the updated terms.
